Terms of Service

These terms govern access to Memoir websites, applications, and services operated by Tachyon Labs, Inc.

Agreement

By accessing or using Memoir, you agree to these Terms of Service. If you use Memoir on behalf of an organization, you represent that you have authority to bind that organization.

Accounts

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account and for promptly telling us about unauthorized use.

The service

Memoir connects to product, customer, and marketing systems selected by customers, builds context from those sources, and helps draft marketing assets and workflows. We may improve, change, suspend, or discontinue parts of the service over time.

Plans and billing

Paid plans, usage limits, renewal terms, and fees are described at checkout, in an order form, or in a written agreement. Unless a separate agreement says otherwise, fees are non-refundable except where required by law.

You authorize us and our payment processors to charge applicable fees and taxes. If payment fails, we may limit or suspend access after reasonable notice.

Your content and connected data

Customers retain ownership of content and data they provide or connect to Memoir. You grant Memoir the limited rights needed to host, process, transmit, display, and use that content to provide and improve the service for you.

You are responsible for having the rights and permissions needed to connect third-party services and process data through Memoir.

Generated output

Memoir may generate drafts, summaries, campaign concepts, social posts, website copy, and related material. You are responsible for reviewing generated output before using or publishing it.

Generated output may not be unique. Similar output may be produced for other users based on different inputs.

Acceptable use

You may not use Memoir to break the law, infringe rights, bypass security, send spam, scrape or overload systems, reverse engineer protected parts of the service, or publish deceptive, harmful, or unauthorized content.

Third-party services

Memoir may connect to services such as GitHub, Linear, Slack, Jira, CRMs, publishing tools, payment processors, infrastructure providers, and AI providers. Those services are governed by their own terms and privacy policies.

Intellectual property

Memoir and its software, design, brand, and technology are owned by Tachyon Labs, Inc. These terms do not transfer our intellectual property to you.

If you provide feedback, you grant us permission to use it without restriction or compensation.

Termination

You may stop using Memoir at any time. We may suspend or terminate access if you violate these terms, create risk for the service or others, or fail to pay fees when due.

Sections that by nature should survive termination will continue to apply, including payment obligations, confidentiality, intellectual property, disclaimers, limits of liability, and dispute terms.

Disclaimers and limits

Memoir is provided on an as-available basis. To the fullest extent permitted by law, we disclaim warranties that the service will be uninterrupted, error-free, or fit for a particular purpose.

To the fullest extent permitted by law, Tachyon Labs, Inc will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Governing law

These terms are governed by the laws of the State of California, excluding conflict of law rules, unless a separate written agreement says otherwise.
